General Warranty

For a period of one (1) year from the equipment invoice date, Free Spirits Green Labs Pvt. Ltd. (“TrackSo”) warrants that the Products shall be free from defects in material and workmanship.

Additional Warranty for Firmware

Manufacturer firmware (embedded software accompanying the product) is warranted to perform in substantial compliance with the specifications contained in your Datasheet & Manuals.

Remedies

TrackSo’s sole obligations and the buyer’s exclusive remedies with respect to goods determined to be defective shall be limited to repair, replacement or refund of the purchase price, at TrackSo’s option. The replacement may constitute, at TrackSo’s option, a new, refurbished or functionally equivalent (in relation to feature, function, compatible, default software version) to, or better than, the defective Covered Product detailed in the warranty claim/ service form.

All remedies are expressly conditioned upon the buyer’s compliance with its obligations herein to comply with the provisions of the Manuals for the IoT Data Logger. If the buyer fails to comply with the Installation Guides, the buyer shall bear the full cost of any service, including but not limited to repair, replacement and return.

Your Obligations

This warranty is expressly conditioned on the buyer’s obligation to complete installation of, perform regular maintenance on and care for any equipment and supplies in accordance with Quick Installation Guide for the IoT Data Logger, a copy of which the buyer acknowledges receiving and to which the buyer agrees to be bound. If the buyer does not comply with such instructions, and that failure results in the need for replacement parts, the buyer shall bear the full cost of such replacement parts.

TrackSo’S WARRANTY IS EXCLUSIVE, AND TrackSO DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Warranty Exclusions. This Limited Warranty does not apply and is void with respect to

  1. cosmetic damage,
  2. the product that has been improperly installed or maintained,
  3. Hardware not manufactured or supplied by TrackSo,
  4. failures or defects caused by excessive moisture, water
  5. damage due to use of incorrect voltage
  6. failures or defects caused by misuse, abuse, accidents, physical damage, abnormal operation, improper handling and storage, neglect, exposure to fire, fluids, biological waste, hazardous materials, chemicals, excessive moisture or dampness, extreme changes in climate or temperature, spills of food or liquids, or alterations
  7. problems caused by the End User network (e.g., connectivity, coverage or other signal reception problems),
  8. floods, acts of God, riots,
  9. Hardware from which warranty stickers, electronic serial numbers and/or serial labels have been removed, altered or rendered illegible,
  10. Hardware operated outside published maximum ratings,
  11. performance of Hardware in combination with other items not manufactured, approved or supplied by TrackSo,
  12. any Hardware which has been opened, repaired, modified or altered by anyone other than TrackSo or any authorised person or service centre,
  13. engraving, accessories and materials subject to normal wear and tear, or
  14. other circumstances beyond the reasonable control of TrackSo.

Other Warranty conditions

  1. Costs incurred in the removal or reinstallation of the product is borne by the buyer.
  2. Repaired or replaced parts of a shipment item do not initiate a new warranty period.
  3. TrackSo reserve the right to retain worn out or defective part(s) or component(s) replaced during the course of repair carried out under the warranty repair
  4. The remaining period of warranty after a warranty claim remains in force only for the unexpired period of the warranty of the original product. The time is taken for repair/replacement and in transit, whether under the warranty or otherwise shall not be excluded from the warranty period

Out of Warranty Repairs

  • TrackSo will charge to repair products in the out-of-warranty period or having damaged not covered by the warranty as per the availability & cost of the required components.
  • All out-of-warranty products returned for repaired or replacement services, the repaired or replaced parts shall be warranted to be free from defects in material or workmanship for thirty (30) days from the date of delivery.
  • Where the workmanship warranty applies, TrackSo will either (at its discretion and cost):
    • re-do or repair the service; or
    • replace any faulty part supplied by us with a comparable new or refurbished part so that the service is no longer defective.
  • Repair work does not postpone the expiry of the warranty period nor does it mean that the warranty period starts again.

Damages Exclusions and Limitations

Without prejudice to any of the foregoing, to the full extent permitted by law, the TrackSo will not be liable for any of the following amounts arising out of or alleged to arise out of the hardware or this limited warranty (collectively, “damages”):

  • Lost profits, lost revenue, lost interest, lost goodwill, loss or corruption of data or any loss of or interruption to business;
  • Costs of procurement of substitute products or services;
  • Special, indirect, consequential, incidental or exemplary damages
  • Any amount exceeding the amount actually paid or payable for the hardware subject to az

The foregoing exclusions and limitations shall apply to all damages

  1. however caused or alleged to be caused,
  2. even if the TrackSo has been advised of the possibility of such damages
  3. whether grounded in warranty, negligence, tort, strict liability, breach of contract, civil liability or other cause of action or claim,
  4. regardless of whether claimed in the form of an allegation, demand, suit, action or other proceeding, and
  5. notwithstanding any failure of essential purpose of any limited remedy.

Nothing herein shall be construed to limit or exclude any liability that cannot be limited or excluded by law. If any part of this clause is found to be unenforceable by any court or competent authority or would be found to be unenforceable if it were interpreted or construed in a particular way, then, the relevant wording should be interpreted or construed so as to avoid such a finding and that, in the event of such a finding, the remainder of the provision in question shall be interpreted or construed to give it full effect.

Governing Law

This warranty is valid both within all the states and union territories of India and for international customers outside India. No other written or oral warranties apply, and no other agent, employee, dealer, or any other person is authorized to give any warranties (explicit or otherwise) on behalf of Free Spirits Green Labs Pvt. Ltd. (TrackSo).

Additional Notes for International Customers

  • Import/Export Duties: Import and export duties, taxes, or customs fees associated with shipping the product for warranty service may vary based on your location and local regulations. Generally, these charges are also the responsibility of the customer. It’s advisable to check with your local customs authority for specific information regarding such fees.
  • Insurance: While shipping your product to us, you might consider insuring it for its value to protect against any damage or loss during transit. However, the cost of this insurance would generally be borne by you.
  • Cost Responsibility: Typically, the cost of shipping the product to our service center is the responsibility of the customer. This includes packaging, shipping fees, and any insurance you might choose to add to protect your product during transit.
  • Return Shipping: For manufacturing defects after repairing or replacing your product, we will cover the cost of shipping it back to you. We’ll take care to package the product securely to minimize any potential damage during the return journey.

For products where Free Spirits Green Labs Pvt Ltd (“TrackSo”) is acting as a traders/distributor, TrackSo will transfer to buyer any transferrable warranties or indemnities that the manufacturer of the product provides to FSGL.

In such cases where TrackSo is acting as a distributor, no additional warranties are given or implied beyond the manufacturer’s warranty.

If any, In no event shall TrackSo be liable for loss of profits or indirect, consequential, incidental, special or other similar damages arising out of any breach of this contract or obligations under this contract, including breach of warranty, negligence, strict liability, or any other legal theory.

To claim this warranty, the Customer must inform TrackSo within the warranty time period specified for the hardware in Invoice manufacturer via submitting a Service Form available at https://trackso.in/service-form/. TrackSo will assist the Customer with claiming the warranty from the third party manufacturer.

Additional Notes

  • Cost Responsibility: Typically, the cost of shipping the product to our service center is the responsibility of the customer. This includes packaging, shipping fees, and any insurance you might choose to add to protect your product during transit.

  • Return Shipping: For manufacturing defects after repairing or replacing your product, we will cover the cost of shipping it back to you. We’ll take care to package the product securely to minimize any potential damage during the return journey.

For products where Free Spirits Green Labs Pvt Ltd (“FSGL”) is acting as a traders/distributor, FSGL will transfer to buyer any transferrable warranties or indemnities that the manufacturer of the product provides to FSGL.

 Power Control (Zero Export & DG Sync) Software License

By Using The Licensed Product / Software, You Accept The Following Terms And Conditions:

1.3.A. DISCLAIMER OF WARRANTY

The Software / Licensed Product is provided on an “AS IS” basis, without warranty of any kind, including without limitation the warranties of merchantability, fitness for a particular purpose and non-infringement. The entire risk as to the quality and performance of the Software is borne by the Client/Buyer (also referred to as the Licensee). Should the Software prove defective, the Licensee and not FSGL or device manufacturer or software provider (also referred to as the Licensor) assume the entire cost of any service and repair.

No Employee, Agent or Representative of FSGL or device manufacturer or software provider has the Authority to bind the Licensor to any Oral representation or Warranty concerning the Licensed Material / Software. Any Oral or Written Representation or Warranty not expressly contained herein shall not be enforceable by the Licensee.

1.3.B. LIMITATIONS OF LIABILITY

FSGL or DEVICE MANUFACTURER or SOFTWARE PROVIDER IS NOT RESPONSIBLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, SYSTEMS FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES.

Licensee agrees to indemnify and hold Licensor harmless from and against all loss, cost, expense or liability (including reasonable attorney’s fees) arising out of a claim by a third party against Licensor based upon Licensee’s use of the LICENSED PRODUCT / SOFTWARE.

Licensee also agrees to indemnify and hold Licensor harmless from any loss or damages to Licensor related to, or associated with Licensee’s customizations, updates and/or modifications to the Software.

Licensor shall have no liability to Licensee for any damage sustained by Licensee as a result of Licensee’s use of the LICENSED PRODUCT / SOFTWARE, whether such damages would arise as a result of breach of contract, tort or otherwise. Licensee has tested the LICENSED PRODUCT / SOFTWARE and relies on its own judgment in utilizing it
